Terms of Service

These Terms of Service ("Terms") are entered into between you, or the organization you represent ("you" or "Customer"), and Coefficients Co Ltd, doing business as Coeff IQ ("Coeff IQ", "we", "us", or "our"). They govern your access to and use of the Coeff IQ website at coeffiq.com (the "Website") and the Coeff IQ analytics application at app.coeffiq.com (the "Platform", and together with the Website, the "Service").

By creating an account, clicking to accept, or using the Service, you agree to these Terms, our Acceptable Use Policy, our Privacy Policy, and our Refund and Cancellation Policy, which are incorporated by reference. If you do not agree, do not use the Service.

Effective date: September 8, 2026. The "Last updated" date above reflects the latest revision.

You must be at least 18 years old and able to form a legally binding contract to use the Service. The Service is intended for business use by organizations and working professionals, not for personal or household use.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" and "Customer" refer to that organization. The person who creates a workspace is its initial Workspace Owner and is responsible for managing member access and for the acts and omissions of everyone they invite.

Coeff IQ is a multi-tenant business analytics platform. It connects analytics, search, advertising, social, and learning data sources that a Customer authorizes, and presents them in unified dashboards and reports with period-over-period changes calculated for you.

The Website provides public information about Coeff IQ and does not require an account. The Platform requires a registered account and is where all Customer Data and connected-account data is handled. Specific features, plans, and limits are described on our Pricing page and within the Platform, and may change over time as described in Service Changes and Availability.

• You must provide accurate registration information and keep it current.
• You are responsible for safeguarding your credentials and for all activity under your account and workspace. Notify us promptly at support@coeffiq.com of any suspected unauthorized access.
• A workspace may contain multiple clients, websites, and members, and may include dedicated client-scoped logins. Workspace administrators control which members and client users have access and at what role, and are responsible for that access being appropriate.
• You are responsible for your users' compliance with these Terms and the Acceptable Use Policy.

Self-serve registration starts a free trial that lasts 30 days. No payment card is required to begin a trial, and no payment is collected during it. The trial is limited in the features and capacity it includes (for example, a limited set of integrations and a limited historical-data window), as described on the Pricing page and in the Platform. To become a paying customer, you must actively select and subscribe to a paid plan.

When the trial ends and you have not subscribed to a paid plan, your account moves to a read-only state: you can still sign in and view the data, dashboards, and reports created during the trial, but actions that create new work — connecting or refreshing integrations, adding websites or members, generating reports, and starting website scans — are unavailable until you subscribe. Nothing is deleted when a trial ends. Subscribing to a paid plan lifts these limits immediately.

• Merchant of record. Paid subscriptions are sold and processed by Paddle.com as our merchant of record. Paddle handles payment processing, applicable transaction taxes, receipts and invoices, and approved refunds, and Paddle (or a Paddle entity) may appear on your card or bank statement. Your purchase is also subject to Paddle's buyer terms, available at paddle.com/legal/buyer-terms.
• Fees, currency, and renewal. Fees are stated in US dollars and billed in advance on a monthly cycle unless stated otherwise at checkout. Subscriptions renew automatically at the then-current price for successive periods until canceled. You authorize Coefficients Co Ltd and Paddle to charge your payment method for all fees when due. Coefficients Co Ltd does not receive or store complete payment-card details.
• Taxes. Prices may be shown inclusive or exclusive of tax depending on your location. Paddle calculates and collects any applicable sales tax, VAT, or GST as merchant of record.
• Upgrades and downgrades. An upgrade takes effect immediately, and you are charged the prorated difference for the remainder of the current billing period. A downgrade takes effect at your next renewal: you keep your current plan until then, and nothing is charged or credited when you request it. After a downgrade, resources that exceed the new plan's limits become read-only rather than being deleted, and are restored if you upgrade again or reduce usage.
• Cancellation. You may cancel at any time. Cancellation normally takes effect at the end of the current paid billing period; you keep access until then, and nothing is deleted at the moment you cancel. To avoid the next charge, cancel before your renewal date.
• Refunds. There is no fixed guaranteed refund window. Refund requests are reviewed on a case-by-case basis and are governed by our Refund and Cancellation Policy, together with Paddle's Buyer Terms and Refund Policy and any stronger rights applicable law gives you. An approved full refund or chargeback ends the associated subscription.
• Failed payments. If a payment fails, your subscription becomes past due. Coefficients Co Ltd or Paddle may retry payment during a dunning window, during which the Service continues to work. If the payment issue is not resolved, we may restrict features, place the account in a read-only state, suspend it, or ultimately terminate it.
• Paid access ending. Your paid access ends when a subscription is canceled (at period end), expires, is terminated for a material breach, or is refunded in full. See Customer Data After Termination for what happens to your data.

Nothing in this section limits mandatory consumer rights you have under the law of your country or place of residence, or under Paddle's buyer terms. Where those give you stronger rights, they prevail.

Each plan includes defined limits and entitlements — for example, the number of clients and websites, team members, integration connections, alert rules, historical-data range, and which features and integrations are available. These values are set by our plan catalog and billing system and may change. The limits and the set of included features that apply to your subscription are those shown at checkout and in the current plan description in the Platform and on the Pricing page. Exceeding a limit results in a clear message and does not delete existing data. The plans listed on the Pricing page are the only subscriptions offered; a custom setup beyond those plans can be discussed with our sales team but is not a self-serve subscription.

You are responsible for the accounts and data you connect to the Service. You represent and warrant that:

• You have the authority and all necessary rights, permissions, and consents to connect each third-party account and to have Coeff IQ access and process the resulting data.
• Your connection and use of each third-party account complies with that provider's own terms of service and policies.
• Your use of Customer Data, and your provision of any notices or collection of any consents that your own end users or data subjects require, complies with applicable law.

As between the parties, you own all rights to the data you connect to, upload into, or generate within the Platform ("Customer Data"). We do not sell Customer Data and do not use it for advertising.

You grant Coefficients Co Ltd a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, and adapt Customer Data solely to provide, secure, and support the Service for you, including retrieving data from the sources you connect and disclosing it to the subprocessors listed in our Privacy Policy. We may use aggregated or de-identified data that does not identify you or any individual to operate and improve the Service.

The Service interoperates with third-party platforms you choose to connect (such as Google, Meta, YouTube, Instagram, TikTok, and X). Those platforms are controlled by their own providers under their own terms, and we do not endorse them or guarantee their availability. A provider may change, deprecate, rate-limit, or withdraw its API, or you may revoke access, and a connection may stop working as a result. We are not responsible for any provider's acts, omissions, outages, data accuracy, or changes, and any such event is not a breach of these Terms by us.

The Service presents analytics, dashboards, reports, and summaries derived from the data you connect. These are provided for your information only and do not constitute legal, financial, investment, accounting, tax, or other regulated professional advice. Third-party data can be delayed, incomplete, or restated by the provider, so you are responsible for reviewing figures before relying on or acting on them.

Any feature offered as alpha, beta, or "preview", and any capability described as planned or on the roadmap, is not part of your current subscription unless and until it is made generally available and added to your plan.

Your use of the Service is subject to our Acceptable Use Policy, which describes prohibited activities and our enforcement rights. A material breach of that policy is a material breach of these Terms.

The Service, including the Platform and Website software, user interfaces, documentation, and the Coeff IQ and Coefficients Co Ltd names and logos, is owned by Coefficients Co Ltd and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, solely for your internal business purposes and subject to these Terms.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Service, or reverse engineer or attempt to extract its source code, except to the extent that restriction is prohibited by applicable law.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

Each party may receive non-public information of the other that is marked or reasonably understood to be confidential. The receiving party will use the disclosing party's confidential information only to exercise its rights and perform its obligations under these Terms, protect it with at least reasonable care, and not disclose it except to personnel and contractors bound by comparable obligations, or as required by law with reasonable prior notice where permitted. Customer Data is Customer's confidential information.

We are continually developing the Service and may add, change, or remove features. Some features may be offered as alpha, beta, or "preview" and are provided as-is, may be changed or discontinued, and are excluded from any service commitment. We may perform scheduled or emergency maintenance, and may suspend the Service or a Customer's access where reasonably necessary to protect the Service, comply with law, or address a security risk, non-payment, or a material breach. We do not promise any particular level of uptime or availability.

• By you. You may stop using the Service and cancel your subscription at any time as described in Subscriptions, Billing, and Refunds, or request account deletion as described in Data Deletion.
• By us. We may suspend or terminate your access if you materially breach these Terms or the Acceptable Use Policy and do not cure it within a reasonable time after notice (or immediately for a breach that cannot be cured or that poses a security, legal, or operational risk), if required by law, or if your account remains unpaid after the dunning window.
• Effect. On termination, your right to access the Service ends. Sections that by their nature should survive — including fees accrued, Customer Data ownership, license of feedback, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — survive.

Ending a trial or canceling a subscription does not by itself delete Customer Data. After an account is closed or you submit a verified deletion request, we delete or irreversibly anonymize active Customer Data and provider-derived data within 30 days, and remove it from disaster-recovery backups within a further 30 days as those backups expire, subject to records we are required or permitted to retain by law. See the Privacy Policy and Data Deletion page for details. Export any data you want to keep before your access ends.

The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, Coefficients Co Ltd disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Service will be uninterrupted, timely, secure, error-free, or that any analytics, reports, or third-party data will be accurate or complete. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

To the maximum extent permitted by applicable law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or related to these Terms or the Service, even if advised of the possibility.

To the maximum extent permitted by applicable law, Coefficients Co Ltd's total aggregate liability arising out of or related to these Terms or the Service will not exceed the amounts you paid to Coefficients Co Ltd for the Service in the twelve months before the event giving rise to the liability (or, if you are on a free trial with no fees paid, USD 100).

Nothing in these Terms limits or excludes either party's liability for fraud, for death or personal injury caused by its negligence, or for any other liability that cannot be limited or excluded under applicable law.

You will defend, indemnify, and hold harmless Coefficients Co Ltd and its officers, employees, and agents from and against third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: your Customer Data; your connection or use of a third-party account without the necessary rights or in breach of that provider's terms; your violation of these Terms or the Acceptable Use Policy; or your violation of applicable law or the rights of a third party.

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction and venue of the proper courts of Lucena City, Quezon Province, Philippines for any dispute arising out of or relating to these Terms or the Service, subject to any mandatory rights or venue rules that applicable law gives you as a consumer or in your place of residence. Each party waives any objection to that venue on grounds of inconvenient forum.

We may update these Terms from time to time. We will revise the "Last updated" date above and, for a material change, provide additional notice (such as an email to your account address or an in-Platform notice) before it takes effect. Changes apply prospectively; your continued use of the Service after the effective date means you accept the updated Terms. If you do not agree to a change, stop using the Service and cancel your subscription before the change takes effect.

• Assignment. You may not assign these Terms without our prior written consent, except to a successor in a merger or sale of substantially all assets that is not a competitor of Coefficients Co Ltd. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
• Entire agreement. These Terms, together with the Acceptable Use Policy, Privacy Policy, and any order or plan details, are the entire agreement between the parties about the Service and supersede prior discussions.
• Severability and waiver. If a provision is held unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it.
• Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, such as natural disasters, outages of third-party networks or providers, or governmental action.
• Notices. Legal notices to Coefficients Co Ltd must be sent to legal@coeffiq.com. We may give notice to you by email to your account address or through the Platform.
• Data protection. Where data-protection law requires a data processing agreement between the parties, the parties will enter into the Coeff IQ Data Processing Addendum (see DPA); it becomes binding only when separately executed or expressly incorporated into a signed agreement.
• Relationship. The parties are independent contractors; these Terms create no partnership, agency, or employment relationship.
